Affiliate Program Terms & Conditions

1. Acceptance of Terms

By submitting an affiliate application, accessing your affiliate account, or sending traffic to any LeadyNox Media ("LeadyNox Media," "we," "us," "our") campaign, you ("Affiliate," "Publisher," "you") agree to be bound by these Affiliate Program Terms & Conditions ("Terms"). If you do not agree, do not apply to or participate in the program.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction. Applications are reviewed at our sole discretion, and we may approve, reject, or revoke affiliate status for any reason, including but not limited to traffic quality concerns, incomplete application information, or failure to verify submitted references.

3. Affiliate Account & Application

You agree to provide accurate, current, and complete information during signup, including contact details, traffic sources, and payment information. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

4. Affiliate Obligations

• Represent LeadyNox Media, its campaigns, and its advertisers honestly — no false, misleading, or deceptive advertising claims.
• Only promote campaigns you have been explicitly approved for.
• Comply with all applicable laws and regulations, including data privacy, telemarketing (e.g. TCPA where applicable), CAN-SPAM, and consumer protection laws relevant to your traffic source and geography.
• Obtain and retain proof of consent (e.g. TCPA-compliant consent records) for any lead where consent is legally required, and provide such records to us within 72 hours upon request.
• Not use LeadyNox Media's name, trademarks, or campaign creative in a way that implies an endorsement, partnership, or affiliation beyond what has been explicitly agreed.

5. Prohibited Traffic & Methods

The following are strictly prohibited on all campaigns unless you have received explicit prior written approval from LeadyNox Media for that specific campaign:

• Fraudulent or fabricated leads — fake names, invalid contact information, duplicate submissions, or any data not sourced from a genuine, individual consumer action.
• Bot, script, or automated traffic — any non-human-generated form submissions or clicks.
• Incentivized traffic without prior written approval (e.g. paying, rewarding, or offering incentives to users in exchange for form submissions).
• Cookie stuffing, click spamming, or forced/auto-redirect traffic.
• Co-registration or pre-checked opt-ins that do not reflect explicit, informed consumer consent.
• Brand bidding on LeadyNox Media's or its advertisers' trademarked terms in paid search without written authorization.
• Self-referrals or leads submitted using your own or an associate's personal information.
• Traffic purchased from or routed through sub-affiliates or networks not disclosed to and approved by LeadyNox Media.

6. Fraud Monitoring & Quality Enforcement

LeadyNox Media actively monitors traffic quality using automated and manual review, including IP and device fingerprinting, duplicate and velocity detection, geographic and behavioral scoring, consent verification, and buyer-reported disposition data. We reserve the right to audit any affiliate's traffic at any time, request supporting documentation (including consent records and traffic-source verification), and reject or hold any lead pending investigation.

7. Consequences of Fraud or Policy Violation

If we determine, in our reasonable judgment, that you have violated Section 5 or otherwise engaged in fraudulent, deceptive, or non-compliant activity, we may take any or all of the following actions without prior notice:

• Immediately suspend or permanently terminate your affiliate account.
• Withhold and forfeit any pending or future commission payments associated with the violation.
• Claw back previously paid commissions directly attributable to fraudulent, invalid, or non-compliant traffic, and offset such amounts against any other balance owed to you.
• Remove your access to all campaigns, dashboards, and API credentials.
• Pursue legal or financial recovery where the violation has caused direct financial harm to LeadyNox Media or its advertisers.

Repeated or severe violations may result in a permanent ban from rejoining the affiliate program under any account.

8. Commissions & Payments

• Commissions accrue only on leads that are verified, accepted by an advertiser/buyer, and not later reversed, disputed, or identified as fraudulent within the applicable review window.
• Payments are made on a Net-15 basis following the close of each billing cycle, subject to reaching the applicable minimum payout threshold.
• You are responsible for selecting an accurate, verifiable payment method and providing any tax documentation required in your jurisdiction (e.g. W-9, W-8BEN).
• Leads under active fraud review are held from payment until the review concludes.
• All reported figures (leads, accept rate, payout) are illustrative platform figures unless tied to your specific account dashboard, which is the authoritative source for amounts owed.

9. Confidentiality

Campaign details, payout rates, creative assets, and any non-public information shared with you are confidential and may not be disclosed to third parties, including other affiliates or networks, without our written consent.

10. Term & Termination

Either party may terminate the affiliate relationship at any time, with or without cause. Upon termination, you must immediately cease sending traffic to all campaigns. Sections relating to fraud consequences, confidentiality, payment clawback, and limitation of liability survive termination.

11. Disclaimers & Limitation of Liability

The affiliate program and all campaign data are provided "as is" without warranties of any kind. To the maximum extent permitted by law, LeadyNox Media's total liability arising from your participation in the program is limited to the amount of commissions actually owed and unpaid to you under these Terms.

12. Indemnification

You agree to indemnify and hold LeadyNox Media harmless from any claims, damages, or expenses arising from your traffic, your breach of these Terms, or your violation of applicable law.

13. Changes to These Terms

We may update these Terms from time to time. Continued participation in the affiliate program after an update constitutes acceptance of the revised Terms. Material changes will be communicated by email where practical.

14. Governing Law

These Terms are governed by the laws applicable to LeadyNox Media's principal place of business, without regard to conflict-of-law principles, unless otherwise required by local mandatory law.
